OurSQL Foundation, a Delaware nonprofit nonstock corporation. Meeting of the Board of Directors, held by videoconference on June 11, 2026.
1. Call to order and quorum
The President, Vadim Tkachenko, chaired the meeting and called it to order at approximately 9:05 a.m. Eastern Time. Matt Lord, Secretary, recorded the minutes.
Directors present: Vadim Tkachenko (President), Matt Lord (Secretary), Tomas Ulin (Treasurer), Peter Zaitsev, Jean-François Gagné.
Directors absent: Jaspreet Singh Bains, Zongzhi Chen.
Five of seven directors were present, so a quorum was established. All directors attended by videoconference and could hear one another.
2. President’s report
The President reported:
Banking. The Foundation has opened a bank account.
Seed funding. Percona, LLC has committed seed funding for 2026. Percona also covered the Foundation’s formation and trademark filing costs, in addition to its cash contribution.
2027 outlook. Percona intends to continue its support in 2027. The Foundation aims to broaden its funding base with additional contributors, and directors will approach prospective contributors.
In-kind support. A member of Percona’s community team will contribute part of his time to technical management of the Foundation’s platforms.
Events. The Foundation will be a community sponsor at Percona Live Amsterdam and will look for volunteers to staff its booth.
3. Initial action plan and administrative staffing
The President presented the initial action plan. He reported that the Foundation has engaged Maria Nesterova as an independent contractor for business and administrative work. Ms. Nesterova is not affiliated with Percona. Her initial responsibilities are business administration, a volunteer program, and a sponsorship and contributor program.
In discussion, directors stressed that the Foundation must be independent of any single company and seen to be so. The board recognized Percona’s role in getting the Foundation started. It agreed that future staff should, as a goal, come from outside Percona and its affiliates. Directors also agreed that community-facing work such as the resource hub and social media should move to volunteers over time.
Resolution 2026-06-11-1. RESOLVED, that the board adopts the initial action plan as presented, together with the points recorded above; and FURTHER RESOLVED, that the board ratifies and approves the engagement of Maria Nesterova as an independent contractor.
Vote: 5 in favor, 0 opposed, 0 abstaining, 2 absent. The resolutions passed.
Resolution 2026-06-11-2. RESOLVED, that an internal communication channel be created for all directors and Foundation staff.
Adopted without objection.
4. New business: security committee
Jean-François Gagné offered to organize a security committee. He would first survey the community on what it expects from such a committee and who would contribute. He would then form it with at least two other community members. Mr. Gagné would be the board’s representative on the committee, and another member would chair it. The committee would bring its proposed charter and plan back to the board for approval before starting work. If too few people volunteer, the effort would be postponed. Most of the work is expected in September and October 2026.
The directors who spoke supported the proposal. They noted that the Foundation’s vendor-neutral position suits this work.
Resolution 2026-06-11-3. RESOLVED, that the board authorizes Jean-François Gagné to survey the community and recruit members for a proposed security committee, with the committee’s charter to be presented to the board for approval.
Adopted by consensus without objection.
5. Administrative matters
Publication of minutes. The board agreed to publish edited minutes of its meetings on the Foundation’s website, leaving out confidential matters. The Secretary will prepare formal minutes for signature, as the Bylaws require, and a public version.
Board information. Short biographies of the founding directors will be added to the Foundation’s website.
Rules of procedure. The board will continue to meet informally for now. It may consider adopting formal rules of order, such as Robert’s Rules of Order, at a later meeting.
6. Adjournment
There being no further business, the meeting was adjourned at approximately 9:53 a.m. Eastern Time.
